Investors and Your Business: Facts You Need to Know

Investors and Your Business: Facts You Need to Know
equity investors facts
If you choose to forgo conventional investment, like taking a loan by a bank, you might end up in the area of equity investors. An equity investor buys some of your company and is now a partial owner of your business. Thus it is essential to understand what you may experience by accepting investor capital.

Equity Investors Anticipate a Return

A venture capitalist investor must be prepared to lose all of their investment in your startup. If the company fails, the equity investor understands that there"s little probability of getting any of the money back.

Because of this, they will request a substantial percentage of your future profits to compensate for the significant risk they are taking. Also, expect that the investor will demand that salaries capped. Be educated about how much of your company"s hard-earned gains you are ready to give away for the investor"s startup capital.

Business investors in addition to demanding a large portion of your profits and they will also have significant leverage, which you can mitigate through negotiation before accepting their investment.

Read my Kabbage.com review of alternative finance options online.

They Have Far-Reaching Rights

Among the most controversial points between business owners and equity investors is how much control equity investors will have in the business. Do not think of those rights as merely there or heterosexual to appease. Equity investors frequently exercise their rights, including voting the provider"s founder right from the business. All that equity investors may end up with include:

  • Voting rights to select a board of directors

  • Must be informed about all major business decisions

Giving an investor rights to your company doesn"t need to be a bad thing. Many times, these investors have years of experience and could be a substantial source of industry information.

Equity Investors & Structuring Your Organization

There are numerous methods to structure your company together with your equity partners. Take the time to determine which business entity works best for you:

General Partners: Should you discover equity investors for your business and do not establish a change in business structure, your company will get a general partnership by default. General partners have a whole lot of control but are also personally liable for business debts and obligations. Thus, most equity investors will prevent general partnerships to be able to avoid liability.

Limited Partners: As its name suggests, limited partners only have limited liability for the debts and liability incurred by your company. Significantly, a limited partnership must have a general partner, which many equity investors are going to want to be you. This means that you"re personally liable for the debts and liability incurred by the company, but your equity investors wouldn"t. Seriously think about the dangers that this represents before agreeing to any such connection.

Corporations: Shareholders in a corporation are protected from personal liability for company debts, provided that they don"t take part in the conducting of the company. Because of this, it might be preferable to have you conduct your business and have the equity shareholders as major stockholders in the corporation. The significant drawback to companies is that they are more difficult to install, are subject to additional legislation, and involve a good deal more paperwork.

Limited Liability Companies: Limited liability companies (LLC) are very popular because they combine the limited liability of a company, with the tax benefits of a partnership in addition to often being less difficult to set up and maintain than a corporation.

Equity Investors & Securities

Stock from a company, partnership interests, and LLC membership are treated as "securities" from the law. There are a plethora of securities laws, both state and national, that govern the exchange and sale of securities. Regardless of what sort of business organization you set up, you want to become knowledgeable about the federal securities laws applicable.

By way of instance, find out whether you"re exempt from most securities requirements. Small companies of a certain size will typically be permitted to give equity investors with interest in the company without needing to complete and file complex paperwork. Be aware that if you"re not exempt, complying with securities laws may cost a substantial sum of money, so be certain it"s worthwhile to bring in equity investors if you are not exempt from regulations.

The other big part of securities legislation governs what you will need to disclose about your organization and who you will need to disclose to. If you"re ever unsure, contact a lawyer and always err on the side of caution by disclosing items you might be uncertain about.

Hiring an Attorney to Assist with Equity Investors

When negotiating with equity investors, you want to be sure that you know your legal rights and duties. Speak to an experienced company law lawyer that will assist you to know what to expect when entering into such a formal business relationship.

Logo Design 99designs vs Fiverr Test: Bought Both and Compared

Logo Design 99designs vs Fiverr Test: Bought Both and Compared Considering getting your logo designed inexpensively at Fiverr or launching a logo design contest at 99 designs?

Please continue reading about my experience of ordering logos from both sites and the results I got.

99designs vs Fiverr logo design reviews
>Spoiler alert - I love my new logo designed and 99 designs. Read my complete review of logo design contests at 99designs and watch my videos of the ordering, submission, feedback and final logo selection process.

I found that the logos I got at Fiverr were generally ugly, boring, and unusable in professional business marketing (see logo design examples here). Nobody likes to save money more than me. That is why I began my logo creation project at Fiverr thinking that I would get a great logo for a cheap price. Instead, I wasted time and money, bummer, and ultimately went to 99 designs for the logo you see on the top of this website.

Why I usually recommend 99 designs

Based on my personal experience, and after researching and reviewing over 50 logo creation options highly recommend 99 designs.  The combination of high-quality logo designs, creativity, easy to use web site and reasonably priced packages that resulted in getting professionally prepared file formats for your logo use on business cards, t-shirts and store signs.

These screenshots show some of the best of 100+ logo designs submitted in my crowdsource graphic design contest. The arrows indicate my final logo choice and the runner-ups. See the final logo design I choose and use for my business to the right.

You can see all of these are high quality and professional and would work well to brand my business.  Truthfully my biggest problem was deciding which one I liked most!

Fiverr logo designs samples

Here are some of the logo designs I got from Fiverr gigs. I bought three (3) different gigs from separate artists and designers.

I hated them all. I especially disliked the one indicated by an arrow. It was a weird image of dollar signs and upward sales graph lines.
  • First, most of the Fiverr vendors did not follow my logo design brief. I specifically wanted the letters B4B stylized with the site name separate.

  • Second, they did not follow the size and layout requirements. I asked for a logo that could be used effectively in a web banner in a horizontal orientation with low height.

  • Thirdly, they were all unusable for my business purposes. So I certainly did not save money by using Fiverr for logo design, it actually cost me more money. I bought and paid for Fiverr gigs that did not produce viable logos. Ultimately I would have saved money if I used 99designs only because they offer a 100% money back guarantee - if I did not love my logo design. Lesson learned - forget Fiverr for the important job of logo design and use 99designs instead.

99designs vs Designhill - Crowd Source Logo Designs Compared

99designs vs Designhill - Crowd Source Logo Designs Compared

If you are looking to get a logo made for your company you want to know about pricing for logo design at top crowdsource contest websites. I will review and compare logo pricing packages for the top sites 99designs and Designhill.

One of the reasons I recommend 99 designs is their generous 100% money back guarantee - thus launching a logo design contest is risk-free.

99designs pricingAnother reason that I recommend 99designs to start up companies is because of the high-quality logo designs for affordable prices.  See these professionally designed logos by 99designs.com logos for dental clinics, exercise fitness studio logos, and restaurants logos.

Comparision of 99Designs vs Designhill Logo Designs

99Designs Advantages

Yes, it"s true I do recommend 99designs to all my startup business clients. I do so because of my own positive experience of getting a logo made for this site.  The top advantages of 99designs.com are:
  1. Affordable - For lean startup firms it is priced right and even the entry level package at $299 will get you many logos you will love. My logo design contest got 100+ submissions. The cost was under $3.00 per logo idea.

  2. Creative - By tapping into the creative genius of a crowd of the best graphic artists on the planet you will get the most unique and beautiful logo designs, not just the same standard, boring looks your competitor uses.

  3. Professional - The designers at 99designs are all professionals who understand how to use design to increase sales and they will prepare your files to industry standard specifications for your use in printing business cards or use digitally on your website.

  4. Equitable - One of the problems of working with artists one on one, and advertising agencies are dealing with the artistic temperament and personalities. If you have to tell the artist you don"t like their creation it could become uncomfortable and perhaps unpleasant. Also, I found that some agencies try to "sell me" on what I should like in a logo design. I want to have the power of making up my own mind.

Disadvantages

While I do like 99designs you need to learn a new business model of working in a crowdsourcing environment. This means you need to follow the easy directions that 99 logos give you for best results.

It may be a short learning curve on how to work entirely online via email and online forums for some of you who are familiar with meeting with your suppliers in person.

However, the benefits of better quality design at lower prices makes the effort to learn this business model process worthwhile.
